Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Peter Duffy T/A Parsley, a sole trader established in the United Kingdom at Spaces, 25 Wilton Road, London SW1V 1LW, United Kingdom ("Parsley," "we," "us" or "our"), concerning your access to and use of the Parsley website (www.parsley.id) and sales profile platform (collectively, the "Service").

By accessing the Service, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

2. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

  • Maintaining the security of your account and password
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Ensuring your profile content is accurate and up-to-date

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

3. Acceptable Use

You may not use our Service:

  • For any unlawful purpose or to solicit others to perform unlawful acts
  • To violate any international, federal, provincial or state regulations, rules, laws, or local ordinances
  • To infringe upon or violate our intellectual property rights or the intellectual property rights of others
  • To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
  • To submit false or misleading information on your profile
  • To upload or transmit viruses or any other type of malicious code
  • To spam, phish, scrape, or harvest user information
  • To impersonate another person or entity
  • To interfere with or circumvent the security features of the Service
  • To upload malicious, infringing, or harmful content to the AI chatbot knowledge base, or to use the chatbot to generate misleading, defamatory, or illegal responses

4. User Content and Public Profiles

When you create a profile on Parsley, you understand that:

  • Your public profile URL (www.parsley.id/username) is accessible to anyone on the internet
  • Information you include in your profile (name, photo, bio, links, etc.) will be publicly visible
  • You are responsible for the accuracy and legality of all content you upload
  • You retain ownership of your content, but grant us a license to display it
  • By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating the Service

5. Prohibited Content

You may not upload or include in your profile:

  • Content that is illegal, harmful, threatening, abusive, or defamatory
  • Content that violates intellectual property rights (copyrighted images, logos without permission)
  • Adult content, pornography, or sexually explicit material
  • Hate speech, discriminatory content, or content promoting violence
  • Spam, malware, phishing links, or deceptive content
  • Content that violates the privacy of others

We reserve the right to remove any content that violates these Terms without prior notice.

6. Conversations and Payments

Parsley is pay-as-you-go. Your profile is free forever, and every new account receives 10 starter conversations at no cost. One conversation covers one visitor talking to your presales agent, however many messages they exchange (in your account ledger these are recorded as credits). When you choose to buy more conversations, you agree to:

  • Provide accurate and complete payment information
  • Pay all fees at the prices in effect when charges are incurred
  • If you opt in to auto-recharge, allow us to top up your balance when it falls below the threshold you set, up to the monthly ceiling you set
  • Our right to change the per-conversation list price with 30 days notice

Conversations in your balance, including any lifetime allocation granted to you, are honored at the per-conversation rate you paid, even if our list price changes for new purchases. All payments are processed securely through Stripe. We do not store your payment card details.

Refund Policy: A purchase - a conversation pack or a lifetime allocation - is refundable in full within 7 days, provided no more than 10% of the conversations from that purchase have been used. Past that point the purchase is not refundable, but the conversations remain in your balance and never expire. Purchases made through a partner platform are governed by that platform's refund policy rather than ours. Full terms, including exclusions, are in our Refund Policy.

7. Username and Profile URL Policy

Your username (www.parsley.id/username) is subject to the following rules:

  • Must be 3-30 characters, lowercase letters, numbers, and hyphens only
  • Must start with a letter
  • Cannot impersonate another person or brand
  • Cannot include offensive or inappropriate language
  • You may change your username up to 2 times per year
  • Changed usernames have a 30-day cooldown before they can be claimed by others

We reserve the right to reclaim usernames that violate these rules or are inactive for extended periods.

8. Analytics and Lead Capture

The Service provides analytics (profile views, link clicks) and lead capture features (contact forms). You understand that:

  • Analytics data may not be 100% accurate and is provided "as is"
  • You are responsible for complying with applicable laws (GDPR, data protection) when collecting visitor information
  • Visitors submitting contact forms agree to share their information with you
  • You must use collected contact information responsibly and in accordance with applicable laws

9. AI Chatbot Usage

If you use the AI Chatbot feature, you agree to the following additional terms:

  • Document ownership: You must only upload documents that you own or have the right to use for this purpose
  • No sensitive third-party PII: Do not upload documents containing sensitive personal information about third parties without their consent
  • Review AI responses: You should periodically review chatbot conversations to ensure AI-generated responses are accurate and appropriate
  • Data protection compliance: You are responsible for ensuring your use of the chatbot complies with applicable data protection laws
  • No document extraction abuse: You may not use the chatbot to systematically extract or reproduce copyrighted content from uploaded documents
  • Right to disable: We reserve the right to disable chatbot access for violations of these terms or if the chatbot is used to generate harmful, misleading, or illegal content

10. Agency and Managed Accounts

Parsley lets an agency, freelancer, or other partner (an "Agency") manage Parsley accounts for the organizations it works with ("Managed Clients"). The following terms apply to these relationships.

If you use Parsley as an Agency:

  • You represent and warrant that you have authority from each Managed Client to create and manage a Parsley account on its behalf, and to act within it through your authorized operators.
  • You are responsible for the actions of your operators within each Managed Client account, and for ensuring your use complies with applicable laws, including data protection laws.
  • You must keep each Managed Client's data confidential and use it only to provide your services to that Managed Client.
  • You are the Parsley customer of record for billing. Conversations you buy are held in your account's shared balance, and conversations in your Managed Client accounts draw from that balance. You are responsible for all fees arising from your Managed Clients' usage. Any charges you make to your own clients are solely between you and them; Parsley is not a party to, and does not facilitate, that billing.
  • Your access to a Managed Client account is delegated and may be revoked, and ownership transferred to the Managed Client, on offboarding or at the Managed Client's or our request.

If your organization is a Managed Client:

  • You acknowledge that your Agency, through its authorized operators, has administrator-level access to your organization's account-level data and settings, and that you have authorized this by working with that Agency.
  • You may take ownership of your account and remove the Agency's access at any time by contacting us or arranging offboarding with your Agency.
  • Your relationship with your Agency, including any fees they charge you, is between you and the Agency. Parsley provides the platform; it is not responsible for the services or charges of your Agency.

How personal data is handled in managed accounts is described in our Privacy Policy. Where Parsley processes personal data on behalf of an organization, it does so as that organization's processor; the Agency acts on the authority of the organization it manages.

11. Intellectual Property Rights

The Service and its original content (excluding user content), features, and functionality are and will remain the exclusive property of Parsley and its licensors. The Service is protected by copyright, trademark, and other laws of England and Wales and foreign countries.

Our trademarks, logos, and service marks may not be used without our prior written consent.

12. Privacy Policy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices.

13. Data Processing Terms

This section applies where your use of the Service involves us processing personal data on your behalf. It forms part of these Terms, is accepted when you accept these Terms, and is intended to satisfy the requirements of Article 28 UK GDPR. No separate agreement needs to be signed. Where this section conflicts with the rest of these Terms, this section prevails in respect of that processing.

13.1 Roles

Account data. We are the controller of the personal data of the people who hold a Parsley account - name, email address, username, profile content, login records and billing details. Our Privacy Policy governs that data, and this section does not apply to it.

Customer Data. You are the controller, and we are your processor, of the personal data that flows through your presales agent: documents you upload to your knowledge base, conversations your prospects have with your agent, contact details they share, and the buyer-intent and qualification signals inferred from those conversations. You are responsible for having a lawful basis for that processing, for giving your prospects the information they are entitled to, and for the accuracy of your instructions to us.

13.2 Details of the processing

  • Subject matter and duration: provision of the Service, for as long as your account is active, plus the retention periods set out in the Privacy Policy.
  • Nature and purpose: hosting, indexing and retrieval of your knowledge base; operating your presales agent and generating its responses; recording conversation transcripts; inferring buyer-intent and qualification signals; and transmitting the results to any CRM or other integration you connect.
  • Types of personal data: identifiers and contact details (such as name, email address, telephone number, employer, job title and LinkedIn profile); the content of conversations; inferred intent and qualification signals; and technical data such as IP address, device information and approximate location.
  • Categories of data subjects: your prospects and other visitors who interact with your Parsley link or presales agent, and the members of your own team.

13.3 Our obligations

We will:

  • Process Customer Data only on your documented instructions, which comprise these Terms, the configuration choices you make in the Service, and any further written instruction you give us - including in relation to transfers of personal data outside the United Kingdom - unless we are required to do otherwise by law, in which case we will tell you before processing unless the law forbids it. We will inform you if, in our opinion, an instruction infringes data protection law.
  • Ensure that the people we authorize to process Customer Data are subject to a duty of confidentiality.
  • Implement and maintain appropriate technical and organizational measures under Article 32 UK GDPR. Those measures are described on our Security page.
  • Engage sub-processors only on the terms in section 13.4 below.
  • Taking into account the nature of the processing, assist you by appropriate technical and organizational measures in responding to requests from data subjects exercising their rights.
  • Assist you in complying with your obligations under Articles 32 to 36 UK GDPR, taking into account the nature of the processing and the information available to us. We will notify you without undue delay after becoming aware of a personal data breach affecting Customer Data.
  • At your choice, delete or return all Customer Data at the end of the provision of the Service, and delete existing copies unless we are required by law to retain them. You can export your data from the Service at any time; absent an instruction to return it, deletion follows the timescales in the Privacy Policy.
  • Make available to you the information necessary to demonstrate compliance with Article 28, and allow for and contribute to audits and inspections conducted by you or an auditor you appoint. We may charge our reasonable costs for audits beyond one in any twelve-month period.

13.4 Sub-processors

You give us general written authorization to engage sub-processors. We impose data protection obligations on each sub-processor that are no less protective than those in this section, and we remain fully liable to you for their performance. Our current sub-processors are:

  • Google Cloud / Firebase - database, authentication, file storage
  • Google (Gemini) - generating presales agent responses
  • Vercel - application hosting and content delivery
  • Resend - transactional email delivery

We will give you at least 30 days' notice by email before adding or replacing a sub-processor. If you reasonably object on data protection grounds, you may terminate your subscription for the affected part of the Service without penalty before the change takes effect.

13.5 International transfers

Some of our sub-processors process personal data outside the United Kingdom. Where they do, we rely on a UK adequacy regulation or, where none applies, on the International Data Transfer Agreement or the UK Addendum to the EU Standard Contractual Clauses, together with any additional measures the transfer requires.

14. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law:

  • We make no warranties or representations about the accuracy or completeness of the Service
  • We do not warrant that the Service will be uninterrupted, timely, secure, or error-free
  • We do not guarantee that profile analytics will be 100% accurate
  • We are not responsible for the content users upload to their profiles
  • We reserve the right to modify or discontinue the Service with or without notice

15. Limitation of Liability

In no event shall Parsley, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, punitive, consequential, or exemplary damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use the Service
  • Any unauthorized access to your account or data
  • Any errors, mistakes, or inaccuracies in the Service
  • Any interruption or cessation of the Service
  • Any bugs, viruses, or malicious code transmitted through the Service

Our total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months prior to the claim, or £100, whichever is greater.

16. Indemnification

You agree to defend, indemnify, and hold us harmless from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Content you upload to your profile
  • Your violation of any third party rights, including intellectual property or privacy rights

17. Term and Termination

These Terms shall remain in full force and effect while you use the Service. We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. You may delete your account at any time from your account settings. Upon deletion, your profile and data will be permanently removed within 30 days.

18. Governing Law

These Terms shall be interpreted and governed by the laws of England and Wales. Any disputes relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

19. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.

21. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and Parsley regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
